Oranro provides technology and financial information tools designed to help users organize financial information, understand their investment decisions, research companies and securities, monitor portfolio and financial activity, document investment reasoning, and, where available, submit self-directed orders through participating brokerage providers.

Please read this disclosure carefully before using Oranro’s investment, research, portfolio, financial-data, or trading features.

1. Informational and Educational Purpose

Oranro provides financial information, research, portfolio analytics, decision-journaling tools, financial observations, and related technology for informational and educational purposes.

Information displayed by Oranro is not intended to constitute personalized investment, financial, legal, accounting, or tax advice.

Nothing on Oranro should be interpreted as a recommendation or solicitation to:

  • buy a security

  • sell a security

  • hold a security

  • open or close an account

  • change an investment allocation

  • enter into a particular transaction

  • follow a particular investment strategy

You are responsible for evaluating information and making your own financial and investment decisions.

2. Self-Directed Investing

Oranro is designed to support self-directed financial decision-making.

Where trading functionality is available, you choose whether to initiate a transaction, the security involved, the account involved, the transaction type, the quantity, and other applicable order parameters.

Oranro may require or encourage you to record the reasoning or context associated with your decision. This reasoning is intended to create a record of your own decision and should not be interpreted as an Oranro recommendation.

Recording, organizing, summarizing, or clarifying your reasoning does not mean that Oranro has determined that the transaction is appropriate for you.

3. Research and Company Information

Oranro may provide company information, financial data, SEC filings, earnings information, research, historical information, portfolio context, themes, and other analytical information.

This information may be obtained from third-party data providers, public filings, connected financial accounts, or other sources.

Information may be:

  • delayed

  • incomplete

  • unavailable

  • incorrectly classified

  • estimated

  • reconstructed from historical activity

  • affected by corporate actions

  • affected by changes in third-party data

  • subject to source or synchronization errors

Historical portfolio information may be reconstructed from available transaction and account data and may not represent an exact historical account statement or point-in-time portfolio valuation unless explicitly identified as such.

You should independently verify material information before making an investment decision.

4. Portfolio Analytics

Oranro may calculate or display:

  • portfolio value

  • holdings

  • asset classifications

  • themes

  • sector exposure

  • concentration

  • historical portfolio activity

  • portfolio changes

  • cash movements

  • investment contributions

  • gains or losses

  • other portfolio observations

These calculations depend on the information available from connected accounts, manually entered information, third-party data providers, and Oranro’s internal calculations.

Portfolio analytics should not be treated as an official account statement or a substitute for information provided directly by your financial institution.

5. Financial Accounts and Account Connectivity

Users may connect supported brokerage, banking, credit-card, loan, or other financial accounts through third-party connectivity providers.

Connected account information is dependent on the availability and accuracy of the underlying financial institution and connectivity provider.

Oranro does not guarantee that every account, transaction, balance, holding, security, or financial institution will be supported or synchronized correctly.

Account availability and synchronization may be affected by:

  • financial institution outages

  • connectivity-provider outages

  • authentication changes

  • institution restrictions

  • account permissions

  • data delays

  • provider limitations

  • changes to third-party APIs

Users should verify important information directly with their financial institution.

6. Brokerage Services and Trading

Where enabled, Oranro provides technology that may allow eligible users to submit self-directed securities orders through participating brokerage providers.

Oranro does not itself act as the user’s brokerage account, does not hold the user’s securities or cash, and does not custody the user’s assets.

Orders submitted through Oranro are transmitted through applicable third-party brokerage or financial technology infrastructure to the user’s connected brokerage provider.

The brokerage provider is responsible for receiving, accepting, rejecting, routing, executing, clearing, settling, and maintaining the user’s brokerage transactions and account, as applicable.

Trading functionality may vary depending on:

  • brokerage provider

  • financial institution

  • account type

  • security

  • jurisdiction

  • order type

  • market conditions

  • account permissions

  • regulatory restrictions

  • third-party availability

The availability of a Trade button or trading functionality does not guarantee that an order will be accepted or executed.

7. Order Execution

Oranro does not guarantee or take responsibility of:

  • execution of any order

  • execution price

  • execution speed

  • availability of a security

  • availability of an account

  • availability of an order type

  • market liquidity

  • order routing

  • partial or complete execution

  • cancellation of an order

  • accuracy of estimated order values

  • availability or accuracy of real-time market information

Orders may be rejected, delayed, partially filled, cancelled, expired, or otherwise handled by the brokerage provider.

Once an order has been submitted, users should monitor its status through Oranro and, when appropriate, directly through their brokerage provider.

8. Market and Order Information

Market prices, quotes, estimated order values, security information, and other market-related data may be provided by third parties.

Such information may not be real-time unless specifically identified as real-time.

Displayed prices may differ from the price ultimately received when an order executes.

Market conditions can change rapidly, particularly for volatile or less-liquid securities.

9. Trading Risks

Trading securities involves substantial risk.

You may lose some or all of the money you invest.

Risks may include:

  • market risk

  • volatility

  • liquidity risk

  • price gaps

  • execution risk

  • concentration risk

  • issuer risk

10. No Automated Trading

The user must independently initiate and explicitly confirm a trade before an order is submitted through the available trading workflow.

11. Oranro Signals and Observations

Oranro may identify observations such as:

  • changes in portfolio concentration

  • changes in a documented thesis

  • missing or inconsistent reasoning

  • company developments

  • changes in financial information

  • portfolio dependencies

  • spending patterns

  • cash-flow patterns

  • other contextual signals

These observations are intended to help users review and understand their financial information.

A signal, alert, score, observation, or highlighted item does not constitute an investment recommendation.

For example, a statement that a thesis assumption has weakened does not mean that the user should sell the associated security.

Likewise, a concentration observation does not mean that the user should change an allocation.

12. AI-Generated Information

Oranro may use automated systems or third-party artificial intelligence services to summarize, classify, organize, compare, or analyze financial information and user-provided reasoning.

AI-generated information may contain errors, omissions, outdated information, or incorrect interpretations.

AI-generated content should be treated as informational and reviewed by the user before being relied upon for an important financial decision.

AI-generated content does not replace professional financial, investment, legal, accounting, or tax advice.

13. Decision and Reasoning Records

Oranro may allow users to record the reasoning, thesis, conviction, evidence, or other context associated with an investment decision.

These records are intended to preserve the user’s decision history and support future reflection.

A recorded decision or rationale represents the user’s documented thinking at the time it was created. It does not represent a guarantee that the decision was appropriate, correct, or successful.

Oranro may later compare historical reasoning with subsequent information to help users reflect on how their assumptions changed.

Such comparisons are informational and do not establish that a particular investment decision was right or wrong.

14. Manual Information

Users may manually enter holdings, transactions, financial information, reasoning, or other data.

Manually entered information may be incomplete or inaccurate.

Where manually entered information conflicts with information received from a connected financial institution, users should verify the correct information with the financial institution.

15. Account Disconnection

Disconnecting a financial account from Oranro may stop future synchronization of information from that account.

Historical Oranro records, including previously recorded decisions, reasoning, research context, and historical activity, may remain available in accordance with Oranro’s data-retention policies.

Reconnecting an account may cause Oranro to retrieve additional or updated information from the connected institution.

Users should not assume that disconnecting an account reverses or deletes historical Oranro records.

16. Third-Party Providers

Oranro may rely on third-party providers for services including:

  • brokerage connectivity

  • account aggregation

  • trade transmission

  • financial data

  • market data

  • company information

  • public filings

  • email

  • hosting

  • authentication

  • analytics

  • artificial intelligence

Third-party services may have their own terms, privacy policies, limitations, fees, outages, and security practices.

Oranro is not responsible for third-party service interruptions or inaccuracies outside Oranro’s control.

17. Brokerage Account Relationship

Your brokerage relationship remains with your brokerage provider.

Your brokerage provider’s account agreements, disclosures, fee schedules, privacy policies, order-handling practices, and other terms continue to apply to your account and transactions.

Users should review the applicable brokerage documentation before trading.

18. Fees

Oranro may charge subscription or other fees for its services.

Brokerage providers, financial institutions, exchanges, data providers, or other third parties may separately charge fees.

Before submitting a transaction, users should review applicable brokerage and transaction costs.

Oranro does not guarantee that all third-party fees will be displayed within the Oranro interface.

19. Taxes

Oranro does not provide tax advice.

Portfolio activity, securities transactions, income, gains, losses, interest, dividends, and other financial activity may have tax consequences.

Users are responsible for determining their own tax obligations and should consult a qualified tax professional when appropriate.

20. Security and Account Credentials

Users are responsible for maintaining the security of their Oranro account and following applicable security procedures.

Where third-party brokerage authentication or authorization is used, authentication credentials and permissions may be handled by the applicable third-party provider.

Users should never share passwords, authentication codes, or other security credentials with another person.

21. No Guarantee of Financial Outcomes

Oranro does not guarantee any particular financial, investment, trading, savings, spending, or wealth outcome.

Use of Oranro does not guarantee:

  • investment returns

  • reduced losses

  • improved investment performance

  • improved spending behavior

  • debt reduction

  • increased savings

  • achievement of financial goals

The purpose of Oranro is to provide information and tools that may help users better understand and document their financial decisions.

22. Professional Advice

Users should consider obtaining advice from appropriately qualified professionals regarding matters requiring individualized financial, investment, legal, accounting, or tax advice.

Nothing provided through Oranro is intended to replace such professional advice.

23. Important Trading Acknowledgment

Before using trading functionality, you acknowledge that:

  • you understand that an order may not execute or may execute at a different price than expected;

24. Regulatory Status

Oranro’s products and services are provided through a combination of Oranro technology and third-party financial, brokerage, data, and connectivity providers.

The availability of brokerage connectivity or trading functionality does not by itself imply that Oranro is a bank, broker-dealer, investment adviser, financial institution, or other regulated financial institution.

Nothing in this disclosure should be interpreted as a representation of Oranro’s regulatory status. Applicable regulatory requirements depend on the services actually provided, how those services are structured, and applicable law.

25. Changes to This Disclosure

Oranro may update this disclosure as its products, services, integrations, or applicable requirements change.

The latest version will be made available through the Oranro application or website.

If material changes are made to the trading-related portions of this disclosure, users may be required to review and acknowledge the updated disclosure before continuing to use trading functionality.
